§ 2.56.010 AUTAAQTUQ FUND
(A) The Autaaqtuq Fund is a special revenue fund. For so long as the North Slope Borough acts as the non-profit entity for the Autaaqtuq Fund, the Autaaqtuq Fund must be managed and distributed in compliance with this ordinance and the attached Autaaqtuq Fund Agreement, as amended.
(B) The North Slope Borough shall provide all administrative, accounting, audit, support, and reporting functions for the Autaaqtuq Fund without cost or charge to the Autaaqtuq Fund for renewable ten year terms while the Autaaqtuq Fund Agreement, as amended, is in effect, subject to change for cause as provided in the Autaaqtuq Fund Agreement, as amended.

§ 2.56.020 LIMITS ON EXPENDITURE OF AUTAAQTUQ FUND REVENUES
The North Slope Borough may only expend Autaaqtuq Fund Revenues in compliance with this ordinance and the Autaaqtuq Fund Agreement, as amended.

§ 2.56.030 APPROPRIATION AND DISTRIBUTION OF AUTAAQTUQ FUNDS
(A) The Mayor must include the Autaaqtuq Fund Revenues that are received by the Borough in the Borough’s next properly noticed ordinance for appropriations of operating funds. These funds may only be appropriated to the grant fund budget for the Autaaqtuq Fund Board.
(B) Autaaqtuq Fund Revenues are funds for grants that are appropriated for purposes that extend beyond the fiscal year of the year of appropriation and upon commencement of a new fiscal year, the remaining funds are automatically re-appropriated to the extent that the prior fiscal year appropriation was not fully utilized.
(C) All Autaaqtuq Fund Revenues that are not appropriated when considered under NSBMC § 2.56.030(A) must be included in the annual operating ordinance that the Mayor submits to the Assembly for consideration. These funds may only be appropriated to the grant fund budget for the Autaaqtuq Fund Board.

§ 2.56.040 AUTAAQTUQ FUND BOARD AND APPOINTMENTS
(A) There is established an eight-member Board called the Autaaqtuq Fund Board. The eight seats are designated as seats A, B, C, D, E, F, G, and H.
(B) Nominees for seats A, B, and C must be at least 21 years old.
(C) Nominees for seats D, E, F, G, and H must be residents of the North Slope Borough and at least 21 years old.
(D) Only CPAI may nominate a candidate for seat A. The Mayor may only appoint a candidate to seat A that as been nominated by CPAI.
(E) Only Anadarko may nominate a candidate for seat B. The Mayor may only appoint a candidate to seat B that has been nominated by Anadarko.
(F) Only Pioneer may nominate a candidate for seat C. The Mayor may only appoint a candidate to seat C that has been nominated by Pioneer.
(G) ASRC must be given thirty-days notice to nominate a candidate for seat D before an appointment may be made to that seat. The Mayor must appoint from ASRC’s seat D nomination if the Borough timely receives the nomination.
(H) UIC must be given thirty-days notice to nominate a candidate for seat E before an appointment may be made to that seat. The Mayor must appoint from UIC’s seat E nomination if the Borough timely receives the nomination.
(I) Native Village of Barrow must be given thirty-days notice to nominate a candidate for seat F before an appointment may be made to that seat. The Mayor must appoint from NVB’s seat F nomination if the Borough timely receives the nomination.
(J) City of Barrow must be given thirty-days notice to nominate a candidate for seat G before an appointment may be made to that seat. The Mayor must appoint from Barrow’s seat G nomination if the Borough timely receives the nomination.
(K) The Mayor may nominate and appoint a candidate to seat H.
(L) The Mayor may nominate and appoint candidates to seats D, E, F, and G if the Borough does not receive timely nominations from ASRC, UIC, Barrow, or NVB for their respective seats.
(M) All of the Mayor’s appointees are subject to Assembly confirmation. Appointees may serve on the Board prior to confirmation.

§ 2.56.050 DUTIES AND AUTHORITY OF THE BOARD
(A) The Autaaqtuq Fund Board may only make grants from Autaaqtuq Fund Revenues.
(B) The Board must organize after appointment of its initial 8 members. It must reorganize after the confirmation of any new Board members or to replace the presiding officer or deputy presiding officer. It organizes by electing from among its members a presiding officer and a deputy presiding officer to serve at its pleasure. If the presiding officer is not present or is disqualified, the deputy presiding officer will preside over the meeting.
(C) The Board will run its meetings in compliance with this ordinance and the most current edition of Robert’s Rules of Order. The Board may amend the application of Robert’s Rules of Order by Resolution.
(D) The Board may distribute appropriated Autaaqtuq Fund Revenues to qualified applicants and must oversee the use of those funds.
(E) The Board may only consider applications for Autaaqtuq Funds from the following entities: A party to the Autaaqtuq Fund Agreement, and any programs, schools, or nonprofits dedicated to the purposes described in subsection (F) below.
(F) The grants must be for one or more of the following purposes:
- To improve the education, training, and work place skills of North Slope Borough residents;
- To monitor the health of North Slope subsistence resources and any impact of oil and gas operations and travel on such resources; and
- To address substance abuse on the North Slope of Alaska.
(G) The Board has authority to establish procedures for disbursement of funds, the scheduling of regular and special meetings, attendance at meetings by teleconference, requirements for applications for grants, financial reporting requirements for grants, and decision standards for making a grant. When the Board exercises its authority under this subsection, it will act by resolution.

§ 2.56.060 TERM AND VACANCY
(A) The term of each Board member is five years.
(B) Board members may resign on thirty-days notice.
(C) This ordinance sunsets when the North Slope Borough no longer acts as the non-profit entity for the Autaaqtuq Fund or when all Autaaqtuq Fund Revenues are expended and no more revenues are expected from ConocoPhillips Alaska, Inc., Anadarko Petroleum Corporation, or Pioneer Natural Resources Alaska, Inc., whichever shall first occur.
(D) The Board members in seats D, E, F, G, and H serve at the pleasure of the Mayor.
(E) CPAI, Anadarko, and Pioneer may dismiss any of their respective nominees that serve in seats A, B, and C on the Board without cause.

§ 2.56.070 QUORUM
(A) Five members of the Board constitute a quorum. A majority of members that are qualified to vote on a motion or resolution are sufficient to pass a motion or resolution of the Board.
(B) The Mayor or his designee is an ex official member of the Board. The Mayor or his designee may vote to break a tie vote of the Board.

§ 2.56.080 COMPENSATION
The nominating entity for each Board member must pay all expenses, and costs for participation on the Board in compliance with its nominating entities’ internal policies and rules. NSBMC §§ 2.24.020-040 only applies to Board members that the Mayor nominates and appoints.

§ 2.56.090 DEFINITIONS
(A) AUTAAQTUQ FUND REVENUES means and includes:
- The annual donations of ConocoPhillips Alaska, Inc., Anadarko Petroleum Corporation, Pioneer Natural Resources Alaska, Inc. made pursuant to the Autaaqtuq Fund Agreement; and
- Any revenues generated from the Overriding Royalty conveyed from ConocoPhillips Alaska, Inc., Anadarko Petroleum Corporation and Pioneer Natural Resources Alaska, Inc. pursuant to the Autaaqtuq Fund Agreement, as amended.
(B) CONOCOPHILLIPS ALASKA, INC. A corporation and includes any successor in interest. It is at times abbreviated in Title 2, Chapter 56 as CPAI.
(C) ANADARKO PETROLEUM CORPORATION. A corporation and includes any successor in interest. It is at times abbreviated in Title 2, Chapter 56 as Anadarko.
(D) PIONEER NATURAL RESOURCES ALASKA, INC. A corporation and includes any successor in interest. It is at times abbreviated in Title 2, Chapter 56 as Pioneer.
(E) ARCTIC SLOPE REGIONAL CORPORATION. A corporation and includes any successor in interest. It is at times abbreviated in Title 2, Chapter 56 as ASRC.
(F) UKPEAGVIK INUPIAT CORPORATION. A corporation and includes any successor in interest. It is at times abbreviated in Title 2, Chapter 56 as UIC.
(G) NATIVE VILLAGE OF BARROW. A federally recognized tribe and includes any successor in interest. It is at times abbreviated in Title 2, Chapter 56 as NVB.
(H) CITY OF BARROW. A municipal corporation organized under the laws of the State of Alaska and includes any successor in interest. It is at times abbreviated in Title 2, Chapter 56 as Barrow.
(I) NORTH SLOPE BOROUGH. A home rule municipal corporation organized under the laws of the State of Alaska and includes any successor in interest. It is at times abbreviated in Title 2, Chapter 56 as Borough.
